These AI Terms of Service (“Agreement” or “AI Terms”) are a legally binding agreement between you (the “User”, “you”, or “your”) and Chisel Labs, Inc. (“Chisel Labs”, “the Company”, “we”, “us”, “our”). You acknowledge and agree that your use of the Company’s AI features (“Chisel AI” or “Chisel Labs AI”) will be governed by this Agreement, our Privacy Policy, and any related terms. If you are unsure as to the terms of this Agreement, please do not proceed further and contact us at info@chisellabs.com. 

If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have full legal authority to bind your employer or such entity to these AI Terms; (ii) you have read and understand these AI Terms; and (iii) you agree to these AI Terms on behalf of the party that you represent. If you don’t have the legal authority to bind your employer or the applicable entity please do not click the “Sign Up” link (or similar button or checkbox) that is presented to you. 

1. Introduction to Chisel Labs, Inc.

Chisel Labs is a B2B SAAS platform that enables Product Management. We believe there are three important aspects of crafting amazing products – building the right product at the right time, aligning the team, and building deep, direct customer connection. Many software tools in the market allow Product Makers to manage their roadmaps. However, they fall short of providing great tools to align your team or building a great customer connection. Chisel Labs was founded to provide a cohesive platform to drive these three aspects of Product management.

 

2. AI Features. 

Chisel Labs may provide Chisel AI to you. If you choose to enable Chisel AI, any content you upload using Chisel AI (“Input”) and any resulting content generated from Chisel AI (“Output”) (collectively, “Customer Data”) will be solely owned by you. You will be solely responsible for the creation, development, content, operation, maintenance, use, and dissemination of your Customer Data. You will ensure that your Customer Data will not (i) violate any applicable law; (ii) violate these AI Terms or the Agreement or any other related terms or any policies we may implement from time to time; or (iii) infringe, violate, or misappropriate any of our rights or the rights of any third party. You acknowledge that due to the nature of machine learning and the technology powering Chisel AI, your Output may not be unique and Chisel AI may generate the same or similar output to a third party.

 

3. Use Restrictions

You acknowledge and agree that you may not use Chisel AI or any resulting Outputs (i) to develop any foundation models or other large-scale models that may compete with Chisel Labs,  (ii) to imply that any resulting Outputs generated by Chisel AI were solely human-generated, (iii) to violate any law, regulation, documentation, guidelines, policies, this Agreement, or any other related terms, (iv) to reverse assemble, reverse compile, decompile, modify, create derivative works, translate, engage in model extraction or stealing attacks, or otherwise attempt to discover the source code or underlying components of models, algorithms, and systems of Chisel Labs or Chisel AI, or (v) in a manner that infringes, violates, or misappropriates any of our rights or the rights of any third party. 

 

4. Training Chisel AI Model. 

We will not use your Customer Data to train Chisel AI for the purpose of benefiting other Chisel Labs customers. We do not permit other third parties to use your Customer Data to train their own AI models. 

 

5. Language Model Integration

. Chisel AI is powered by AzureAI. AzureAI is an optional integration that is not required for use of Chisel Labs’ services. You are not required to use, test, or trial Chisel AI. Further, if you choose to use Chisel AI, you may not use Chisel AI in a manner that violates any AzureAI Policy, including their Product Terms.  

 

6. Warranty

CHISEL AI IS PROVIDED TO YOU ON AN “AS IS” BASIS. WE DO NOT MAKE ANY WARRANTY REGARDING THE RESULTS OBTAINABLE FROM USING CHISEL AI OR THE ACCURACY OR SUITABILITY FOR YOUR NEEDS OF ANY INFORMATION (INCLUDING, BUT NOT LIMITED TO, MATERIALS, DESIGNS, WORKFLOWS/PROCESSES, CODE, OR OTHER DATA) OBTAINED THROUGH CHISEL AI. YOU UNDERSTAND AND AGREE THAT ANY SUCH INFORMATION OBTAINED THROUGH USING CHISEL AI IS AT YOUR SOLE RISK. DO NOT RELY ON FACTUAL ASSERTIONS IN OUTPUT WITHOUT INDEPENDENT FACT-CHECKING. WE DO NOT NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR FREE. NO SUCH INFORMATION, SUGGESTIONS, OR OUTPUT, OBTAINED BY YOU FROM CHISEL LABS SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

 

6. Miscellaneous

1. Termination. These AI Terms and your rights and access to Chisel AI are limited and subject to the Use Restrictions herein. These AI Terms may be terminated by Chisel Labs at any time for any reason or no reason. 

2. Assignment.  This Agreement is only for your benefit. You shall have no right to assign this Agreement or any benefits or obligation hereunder to any other party or legal entity. Any attempted assignment shall be void.

3. Relationship of Parties. The parties hereto are independent contractors, and nothing contained herein shall be interpreted as creating any relationship other than that of independent contracting parties. The parties shall not be construed as being partners, joint ventures, shareholders, employer/employee, or agent/servant. The User has no power or authority to bind the Company to any obligation, agreement, debt or liability. The User shall not hold itself out as an agent or representative of the Company.

4. Modification; Waiver. We reserve the right, at our sole discretion, to change or modify this Agreement at any time. In the event, we modify the terms of this Agreement, such modifications shall be binding on you only upon your acceptance of the modified Agreement. We will inform you about the modifications via email, on our Website by posting a modified version of this page, or by a comparable means within a reasonable time period.  Your continued use of Chisel AI shall constitute your consent to such changes. Our failure to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision.

5. Governing Law. This Agreement shall be governed by the law of the State of Delaware, without respect to its conflicts of laws principles.  Each of the parties to this Agreement consents to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California.
